Terms of Service

Last updated: July 11, 2026. These terms are a working draft prepared for COCEC TECH LLC and should be reviewed by legal counsel before general availability.

These Terms of Service ("Terms") govern your access to and use of the AdminRelay software and the websites and customer portal operated by COCEC TECH LLC ("COCEC TECH", "we", "us"). By creating an account, purchasing a license, or using AdminRelay, you agree to these Terms.

1. The product

AdminRelay is a Windows application for IT administration that runs administrator-authored tasks on end-user devices through a user-consented confirm, schedule, and remind cycle. It is licensed software, not a hosted service: the software runs on your devices, and license validity is verified against our licensing servers.

2. Accounts

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for activity under your account. Accounts are for your organization's use; you may not resell access to AdminRelay without a separate written agreement with COCEC TECH LLC.

3. Licensing

AdminRelay is licensed per device, per year. Terms of one (1) to five (5) years are available. Licenses are subject to a five (5) seat minimum; above one hundred (100) licenses, seats are added in increments of five (5). Licenses are non-transferable between organizations. We may verify license status from the software at any time; the software may stop executing tasks when a license cannot be validated as active.

There are no lifetime or perpetual licenses.

4. Billing, credits, and price protection

  • Fees are billed per seat for the term purchased. Discounts offered at purchase (for example, early-buyer or multi-year package discounts) apply to the purchased term.
  • Unused-seat credit: seats that remain entirely unused are prorated monthly and credited toward your next billing cycle. Credits have no cash value and expire if the account is closed.
  • Price protection for committed plans: plans of two (2) or more years on automatic renewal are guaranteed at least the same discount level and no price increase for the next billing cycle. Any pricing change will be announced during your current billing cycle and can take effect no earlier than the cycle after your current one. Five (5) year plans additionally keep their discounted pricing for the two (2) automatic-renewal cycles that follow.

5. Refunds

AdminRelay licenses are sold on an annual basis and are non-refundable, including any unused time on a multi-year term. Unused seats are credited toward your next billing cycle as described in your plan; this is an account credit, not a cash refund. When a payment is reversed through a chargeback, the associated licenses are deactivated.

6. Acceptable use

You may not: reverse engineer, decompile, or attempt to extract the source code or protection mechanisms of the software except where such restriction is prohibited by law; use AdminRelay to run tasks on devices you do not own or administer with authorization; circumvent license enforcement; or use the product to violate applicable law. You are responsible for the content and effect of the scripts and tasks you configure and deploy through AdminRelay.

7. Intellectual property

The software, websites, and all related materials are the property of COCEC TECH LLC and its licensors. You receive a limited, non-exclusive, non-transferable right to use the software for the licensed term on the licensed number of devices. Feedback you provide may be used to improve the product without obligation.

8. Warranty disclaimer

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COCEC TECH LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SOFTWARE OR THESE TERMS. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

10. Termination

You may stop using AdminRelay at any time. We may suspend or terminate access for material breach of these Terms, including non-payment or license circumvention. Sections 7-9 survive termination.

11. Changes to these Terms

We may update these Terms. Material changes will be announced on this page with an updated date, and, for pricing, per the price-protection commitments in Section 4.
